Welcome, and thank you for your interest in Pullfrog, Inc. ("Pullfrog," "we," or "us"). These Terms of Service ("Terms") govern your access to and use of Pullfrog's software, platform, and related tools, including the website at pullfrog.com, the Pullfrog GitHub App, and the agent orchestration service that runs coding agents in response to your GitHub activity (collectively, the "Service"). By using the Service, you agree to these Terms.
Please also read our Privacy Policy, which explains how we collect, use, disclose, and process personal data.
If you are using the Service as part of your work for a company or organization that has a Master Services Agreement ("MSA") with Pullfrog, your use of the Service is governed by that MSA. If you are entering into these Terms on behalf of an entity, you represent that you have the legal authority to bind that entity.
1. Access and Use
1.1 Provision of Access. Pullfrog provides a GitHub-integrated platform that orchestrates third-party coding agents (such as Claude, Cursor, Codex, and Gemini) to perform tasks in your GitHub repositories—for example, reviewing pull requests, addressing feedback, or running automated fixes. Subject to your compliance with these Terms, Pullfrog grants you a limited right to access and use the Service.
1.2 Content. You may provide repository code, issue and PR content, and other inputs ("Inputs") to the Service. The Service may cause third-party agents to generate code, comments, or other outputs ("Outputs") in your repositories (Inputs and Outputs are collectively "Content"). We may use Content to provide the Service, comply with applicable law, enforce our terms and policies, and keep the Service safe. By submitting Inputs to the Service, you represent and warrant that you have all rights, licenses, and permissions that are necessary for us to process the Inputs under these Terms and to provide the Service to you.
1.4 Limitations for Outputs. You acknowledge that Outputs are generated automatically by third-party AI models and may be similar to or the same as Outputs provided to other users. No rights to any Outputs generated for other users are granted to you under these Terms. You acknowledge that AI models may produce errors, misleading information, repetitive content, and may struggle with nuance, complex reasoning, or cultural context. Data used to train AI models may be of poor quality or biased. You are responsible for evaluating, and bearing all risks associated with, the use of any Outputs, including reliance on their accuracy, completeness, or usefulness.
1.5 Use Restrictions. Except and solely to the extent such a restriction is impermissible under applicable law, you may not: (i) reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code or underlying structure of the Service; (ii) reproduce, modify, translate, or create derivative works of the Service (except to the extent the Service is open source and licensed to you under a separate open-source license); (iii) rent, lease, lend, or sell the Service; (iv) remove any proprietary notices from the Service; (v) use the Service or any Outputs to develop or train a model that is competitive with the Service; (vi) probe, scan, or attempt to penetrate the Service; (vii) harvest, scrape, or extract data from the Service; (viii) use the Service in any manner that violates any third party's rights or any applicable laws; or (ix) knowingly permit any third party to do any of the foregoing. You will promptly notify Pullfrog of any unauthorized use.
1.6 Beta Services. From time to time, Pullfrog may make Beta Services available to you. Beta Services are intended for evaluation purposes, are not fully supported, and are provided "as-is" and "as available" without warranty, support, maintenance, or storage. Pullfrog may discontinue Beta Services at any time and may never make them generally available. PULLFROG SHALL HAVE NO LIABILITY WHATSOEVER ARISING OUT OF OR IN CONNECTION WITH BETA SERVICES—USE AT YOUR OWN RISK. The Service is currently offered as a beta.
1.7 Automated Code Execution. The Service executes code and runs workflows in your repositories (e.g., via GitHub Actions) that may operate with limited or no manual review. By enabling such features, you acknowledge and agree that you are assuming all risks associated with the execution of automatically generated code, including system outages, software defects, data loss, and security vulnerabilities. YOU ARE SOLELY RESPONSIBLE FOR ANY IMPACT RESULTING FROM USE OF THIS FEATURE, INCLUDING ENSURING APPROPRIATE SAFEGUARDS, TESTING, AND MONITORING ARE IN PLACE.
2. Eligibility
You must be at least the age of majority in your jurisdiction (e.g., 18 years old in the United States) or 18, whichever is higher. By agreeing to these Terms, you represent that: (a) you meet the age requirement; (b) you have not previously been suspended or removed from the Service; and (c) your use of the Service complies with all applicable laws.
3. Account Registration and Access
To access most features of the Service, you must register via GitHub OAuth. We receive your GitHub username, profile information, and email address from GitHub in accordance with GitHub's terms and our Privacy Policy. You agree that the information you provide is accurate and that you will keep it current. You are solely responsible for maintaining the security of your GitHub account and for all activities that occur under your account. If you believe your account is compromised, notify us immediately at support@pullfrog.com.
4. Payment Terms
4.1 Paid Services. Certain features may require fees. Before you pay, you will have the opportunity to review and accept fees. All fees are in U.S. Dollars and are non-refundable except as required by law. The Service is currently free during the beta period.
4.2 Pricing. Pullfrog reserves the right to determine pricing. We will make reasonable efforts to keep published pricing current. We may change fees with advance notice via the Service, email, or other reasonable means. Continued use after a price change constitutes agreement. You are responsible for all taxes other than those based on Pullfrog's net income.
4.3 Subscription Service. The Service may include subscription plans with automatically recurring payments. Subscriptions auto-renew unless cancelled before the renewal date. You may cancel via the Service or by contacting us at support@pullfrog.com. YOUR CANCELLATION MUST BE RECEIVED BEFORE THE RENEWAL DATE TO AVOID CHARGE FOR THE NEXT PERIOD.
4.4 Delinquent Accounts. Pullfrog may suspend or terminate access for unpaid accounts. A delinquent account may be charged collection fees. If your payment method is invalid at renewal, Pullfrog may delete your account without liability.
5. Ownership and Licenses
5.1 Service. Pullfrog and its licensors own all right, title and interest in the Service and related intellectual property. No implied licenses are granted.
5.2 Feedback. If you provide suggestions or feedback about the Service, you grant Pullfrog the right to use that feedback without restriction or compensation.
5.3 Content. You retain all rights in your Inputs. Pullfrog assigns to you all of our right, title, and interest, if any, in any Outputs.
5.4 Usage Data. Pullfrog may collect and analyze usage data (technical logs and learnings about your interactions with the Service, excluding Content) internally and may disclose it to third parties only in aggregated, de-identified form.
5.5 Publicity. You grant Pullfrog a limited, non-exclusive, revocable license to use your name, logo, and trademarks to identify you as a user of the Service on Pullfrog's website and in marketing materials. You may revoke this license at any time by emailing support@pullfrog.com, and Pullfrog will remove the relevant references within a reasonable period.
6. Third-Party Services
The Service integrates with third-party services including GitHub, Clerk, and AI agent providers (e.g., Anthropic, OpenAI, Google). Your use of those services is subject to their terms. Pullfrog makes no representations or warranties with respect to third-party services. Your Content may be processed by these services to deliver the Service.
7. Communications
We may send you emails about the Service. You may opt out of promotional emails via unsubscribe links. You agree that electronic communications from us satisfy any legal writing requirements.
8. Modification of Terms
We may change these Terms from time to time. We will update the date at the top and post the revised Terms here. Continued use constitutes acceptance. If you disagree, you must stop using the Service.
9. Termination
You may stop using the Service at any time. We may suspend or discontinue the Service or your access at any time without notice. If you have a paid subscription and we terminate without cause, we will refund fees pro rata; no refund is owed if we terminate for breach. We may terminate inactive unpaid accounts after one year with advance notice. Upon termination, we may delete your Content. Sections 1.5, 4 (re outstanding fees), 5, and 13–17 survive termination. 10. Modification of the Service
We may modify or discontinue any part of the Service at any time without notice or liability. Retain copies of your Content as needed.
11. Copyright Complaints
Send copyright infringement notices to support@pullfrog.com. Notices must include: (1) signature of the authorized person; (2) description of the copyrighted work; (3) location of the infringing material; (4) your contact info; (5) a good-faith belief statement; and (6) an accuracy and authority statement under penalty of perjury.

Please read our Privacy Policy for information about how we handle your personal data. The Privacy Policy is incorporated by reference into these Terms.
13. Indemnity
To the fullest extent permitted by law, you will defend and indemnify Pullfrog and its affiliates, officers, employees, and agents (the "Pullfrog Entities") from all liabilities, claims, damages, and expenses (including attorneys' fees) arising from: (1) your misuse of the Service; (2) your violation of these Terms or applicable law; and (3) any claim that your Inputs violate third-party rights. We may assume control of any such defense at our expense.

16. Dispute Resolution
16.1 Agreement to Arbitrate. All disputes will be resolved through final and binding arbitration rather than court, except for individual small claims. You waive the right to a jury trial and to participate in a class action. The Federal Arbitration Act governs. You may opt out within 30 days of account creation by emailing support@pullfrog.com.
16.2 Class Action Waiver. CLAIMS MAY ONLY BE BROUGHT INDIVIDUALLY. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER CLASS PROCEEDINGS. RELIEF IS LIMITED TO INDIVIDUAL CLAIMS.
16.3 Pre-Arbitration Resolution. Contact us first at support@pullfrog.com. If unresolved, send a written Notice of Dispute by certified mail to Pullfrog, Inc. at the address in Section 17.3. We have 60 days to resolve before arbitration may begin.
16.4 Procedures. Arbitration follows the AAA Consumer Arbitration Rules. This Arbitration Agreement controls over inconsistent AAA terms. Filing fees are split equally unless hardship applies, in which case Pullfrog pays your share.
16.5 Confidentiality. All aspects of the arbitration are strictly confidential.
16.6 Severability. If the class action waiver is held invalid, the entire Arbitration Agreement is void (except for public injunctive relief claims). Other invalid provisions will be modified to the minimum extent necessary.
16.7 Future Changes. You may reject future changes to this Arbitration Agreement by sending written notice within 30 days.
17. Miscellaneous
17.1 General. These Terms and the Privacy Policy are the entire agreement. You may not assign these Terms without our consent; we may assign freely. A waiver of any breach is not a waiver of any subsequent breach. Invalid provisions will be enforced to the maximum extent possible.
17.2 Governing Law. Delaware law governs. Claims will be brought exclusively in Delaware federal or state courts.

17.5 Export Controls. You must comply with all applicable trade laws. The Service may not be used in U.S. embargoed territories or by restricted individuals or entities.
