He thought he was driving the price of his business up. The buyer was already reducing his offer in his head. He heard loyalty. The buyer heard fragility. The relationships weren't transferable. They were trapped inside one man's calendar. That's a key-person discount. It's not a theory. Buyers literally write down a percentage and take it off the asking price. I've seen 20%. I've seen 40%. On a £3m business, that's the difference between a comfortable retirement and another five years of grinding. It's never just that one sentence. "My team runs everything past me first." "I review every proposal before it goes out." "Most of our clients, I brought in personally." "I haven't had a proper holiday since 2019." Each one feels like commitment. Each one is a price cut. The trap is that the founder built the business on those exact instincts. What got you here is what stops you leaving. Which is why most exit prep doesn't start with spreadsheets. It starts with the founder grieving their own importance. A question. When was the last time something significant happened in your business, a deal won, a hire made, a problem solved without anyone needing to ask you first?

It has a cowardice problem I've been here since 2008 and I've watched it go from a glorified CV database, to a community that loves to contribute and champion others, to whatever this is now. Three things I can't unsee on my feed: 1) The "comment a word" post. "Type X and I'll DM you my framework." Translation: give me your email so I can add you to a newsletter that spams you with content that has no substance. Worth knowing is that LinkedIn is now actively suppressing and banning accounts that do this. It isn't just irritating, it's a slow self-destruct button. 2) The AI ghostwrite. The giveaway isn't the em-dashes or the "in today's fast-paced world" filler. That's just texture. The real tell is the writer isn't in their own post. They've outsourced the thinking, not just the typing. Taking shortcuts like this has consequences for your brand. 3) The thought leader infestation. Everyone's an expert. Nobody will tell you what they actually do, how they got there or how to achieve the same transformation they have. None of this is really about AI, hacks, or email harvesters. Those are symptoms. The real problem is most people on here are scared to sound like themselves. So they sound like everyone else. Same hooks, same cadence, same BS tactics everyone else is using. What happened to sounding like a person? When did you last write something you were actually scared to post?

Adam Strong reposted thisI had a conversation last week with the owner of an HR consultancy. He had been 25 years in the business. Had a strong reputation and was generating £2m in revenue. He'd just received a conditional offer for £1.75m and he was crapping his pants. He thought selling would be a stroll in the park. Hand over the keys, ride into the sunset, cash in the bank. It wasn't. What he hadn't prepared for was due diligence. Most founders think due diligence is a tick-box exercise. A few forms, a couple of meetings, sign on the dotted line. It's not. Due diligence is a forensic deep-dive. Buyers come in like detectives, examining every nook, every cranny, every line of every contract. They're not looking for what makes the business great. They're looking for risks they can use to discount the offer. Here are the 5 things due diligence will uncover and price you down for: 1. Owner dependency. If every key client only takes your call, every decision waits in your inbox, every piece of IP lives in your head, the buyer sees a job, not a business. Biggest single driver of multiple compression. 2. Client concentration. If your top 5 clients are over 40% of revenue, the buyer prices in the risk of them leaving with you. Even loyal clients can be commercially repriced once you're gone. 3. Undocumented systems and processes. They'll ask for SOPs, delivery playbooks, onboarding docs. If they're not there, the buyer assumes the methodology walks out the door with you. The IP isn't transferable. 4. Messy financials Inconsistent management accounts. Mixed personal and business expenses. Unclear working capital. Each one becomes a discount, a delay, or a renegotiation lever. 5. No clear growth runway Buyers don't pay for what you've built. They pay for what they can build on top. If the next 3-5 years of growth isn't obvious, the multiple compresses. Every one of those 5 compounds the discount. One alone might cost 10-15%. Two or three together can halve your offer. The £1.6m offer he got wasn't bad luck. It was the cumulative cost of 5 things he hadn't fixed. 24 months earlier, the same business, prepared properly, would have closed at £3m or more. Possibly £4m. A worst case scenario for many. And then something happened that shouldn't have. Messaging went out from our company account with a "Rest in Peace" framing and a discount code called RIPSHIELD… Especially in a situation like this and from my perspective as a founder myself this frame is tone-deaf. Cynical and out of place. It’s not how I want Scripe to show up. This is on us as founders. We didn't have a proper internal sign-off process for external comms in cases like this. We do now. That doesn't undo what happened, but it makes sure it doesn't happen again. A lot of people loved Shield. A lot built their work around it. Their team is losing something they spent years building. When a tool like that winds down, the last thing we should be doing is dropping weird memes. I'm sorry. Especially to andreas jonsson and the Shield team. Lactate Threshold, Hydration, Sweat Sodium, Ketosis... What started as a conversation about their new Hydration test lead into one of the founders Stan Skafidas sharing how their device has also shown to be not just useful for athletes, but also tracking dehydration in poorer communities around the world, the mining industry, aged care facilities by addressing falls and UTI infections usually caused by dehydration.
