Addisons | Deal News | Addisons advises four agribusinesses on strategic merger with ASX-listed Duxton Farms to create scale agricultural portfolio Addisons has acted as legal adviser to four Australian private companies on their merger by inter-conditional schemes of arrangement with Duxton Farms Ltd (ASX:DBF). Duxton Walnuts, Duxton Dried Fruits, Duxton Orchards and Duxton Bees operate agribusinesses in the walnuts, dried fruits, apples and apiary sectors respectively. All were private companies operating independently. Duxton Farms is an owner and operator of a portfolio of agricultural assets. Through the merger, Duxton Farms acquired all four agribusinesses simultaneously and has expanded the scale and scope of its portfolio to create a diversified agribusiness player with over $298 million in gross assets, 180,000 hectares of land in five states and territories, and 32,000 megalitres of water entitlements. A uniquely complex transaction effected by way of inter-conditional schemes of arrangement, each merger company required approvals from shareholders and the Federal Court of Australia. The Addisons team advising Duxton was led by Partners Daniel Goldberg and Li-Jean Chew, with Hayden Martin, Cathy Tran and other members of Addisons’ Agribusiness team.
