END-USER SOFTWARE LICENSE AGREEMENT This End-User License Agreement (EULA) is a legal agreement between you (either an individual or a single entity) and Tony Tanzillo (the AUTHOR) for the computer software known as "ACADX", which includes the computer software, associated media and printed materials, and online or electronic documentation (herinafter referred to as the SOFTWARE). By installing the SOFTWARE, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, promptly divest this copy and all other copies of the SOFTWARE from your possession. SOFTWARE LICENSE The SOFTWARE is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE is licensed, not sold. 1. GRANT OF LICENSE. This EULA grants you the following rights: a. Personal Use. You may use the SOFTWARE for personal use limited to use in your home or place of business, and only in conjunction with software you develop for in-house use only. You may NOT redistribute this SOFTWARE to others. You may not use the SOFTWARE in conjunction with other software that requires the SOFTWARE, if the other software was not developed by you. b. Storage/Network Use. You may also store or install a copy of the SOFTWARE on a storage device, such as a network server, used only to install or run the SOFTWARE on your other computers over a network; however, you must acquire and dedicate a license for each separate computer on which the SOFTWARE is installed or run from the storage device. A license for the SOFTWARE may not be shared or used concurrently on different computers. 2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS. a. Limitations on Reverse Engineering, Decompilation, and Disassembly. You may not reverse engineer, decompile, or disassemble the SOFTWARE, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. b. Separation of Components. The SOFTWARE is licensed as a single product. Its component parts may not be separated for use on more than one computer. c. Distribution. You may NOT distribute copies of the SOFTWARE or make a copy of the SOFTWARE available electronically. Redistribution of this software is permitted only with a commercial runtime license from the author. d. Use with third party applications. A CLIENT application is software which requires the SOFTWARE. You may only use the SOFTWARE with CLIENT applications that are developed by you, for your own personal use within your home or company. You may not use the SOFTWARE in conjunction with CLIENT applications distributed by others. e. Lease and Rental. You may not rent or lease the SOFTWARE to others. f. Termination. Without prejudice to any other rights, the AUTHOR may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must divest all copies of the SOFTWARE from your possession. 3. COPYRIGHT. All title and copyrights in and to the SOFTWARE (including but not limited to images, photographs, animations, video, audio, music, and text, incorporated into the SOFTWARE), the accompanying printed materials, and any copies of the SOFTWARE, are the property of the AUTHOR. The SOFTWARE is protected by copyright laws and international treaty provisions. Therefore, you must treat the SOFTWARE like any other copyrighted material except that you may either (a) make one copy of the SOFTWARE solely for backup or archival purposes, or (b) install the SOFTWARE on a single computer provided you keep the original solely for backup or archival purposes. You may not copy the printed materials accompanying the SOFTWARE. Violation of copyright law is punishable by criminal and civil actions. 4. U.S. GOVERNMENT RESTRICTED RIGHTS. This SOFTWARE and documentation are provided with RESTRICTED RIGHTS. Use, duplication, or disclosure by the Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial Computer Software Restricted Rights at 48 CFR 52.227-19, as applicable. The manufacturer of this SOFTWARE is Tony Tanzillo, Design Automation Consulting. 5. JURISDICTION If you acquired this product in the United States, this EULA is governed by the laws of the State of New Jersey. 6. NO WARRANTY ANY USE OF THIS SOFTWARE IS AT YOUR OWN RISK. THE SOFTWARE IS PROVIDED FOR USE "AS IS" AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AUTHOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH REGARD TO THE SOFTWARE. 7. NO LIABILITY FOR CONSEQUENTIAL DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE AUTHOR OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE PRODUCT, EVEN IF THE AUTHOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
