We are embarking on a new chapter in TrueCar’s journey. TrueCar has reached an agreement to be acquired by an investor group led by TrueCar founder Scott Painter, Fair Holdings, Inc. We believe this transaction is a win-win for TrueCar, our investors, our affinity partner network, Certified Dealers and car buyers. Scott Painter, who founded TrueCar in 2005 before departing in 2015, will return as the Company’s Chief Executive Officer upon completion of the transaction – at which time TrueCar will be a privately held company led by a group with deep operational experience, industry insight, and a long-term commitment to innovation. Since its founding, TrueCar has been reducing pain-points in the car buying and selling process, increasing affordability, transparency, and reliability. Through a differentiated network of more than 250 affinity partners, TrueCar has built a powerful lead generation platform that connects dealers and OEMs. We are confident this transaction is in the best interests of TrueCar stockholders and other stakeholders. The transaction is expected to close in the fourth quarter of 2025 or early 2026, subject to approval by TrueCar stockholders, receipt of regulatory approvals, if necessary, and satisfaction of customary closing conditions.
