SERVICE AGREEMENT

This Service Agreement (“Agreement”) is entered into at Mumbai on 09th Dec, 2021 by and between

CONNECT AND HEAL PRIMARY CARE PRIVATE LIMITED, a company duly incorporated under
the provisions of Companies Act, 2013, having its registered office at T5-201, Jaypee CGHS Limited,
Plot 2, Sector 22, Dwarka, New Delhi 110 077 and its corporate office at 401, 4 th Floor, Multilink
House, Khar West, Mumbai 400052 (hereinafter referred to as the “CNH” which expression shall,
unless repugnant to the context or meaning thereof, be deemed to mean and include the Affiliates,
successors and assigns) of one part;

and 

ZENITH HOSPITAL, a hospital located at Parth Business Plaza, Mith Chowki, Link Road, Malad
West, Mumbai 400 064, (hereinafter referred to as the “Hospital Partner” which expression shall,
unless it be repugnant to the context or meaning thereof, be deemed to mean and include the
successor(s) and/or its assigns) of other part;

CNH and Hospital Partner are hereinafter collectively referred to as “the Parties” and individually as
“the Party”.

WHEREAS:

A. CNH is engaged in the business of providing Integrated Primary Healthcare and Allied Services
including but not limited to composite services such as General Practitioner Services, Specialist
Services, Medical Teleconsultations, General and Auxiliary Paramedics, Stand-by and on-
demand emergency response Ambulances, Air Ambulance Services, Supply of Clinical
Equipment, Medical Products, facilitating Bio-Medical Wastes, providing Doctors at Homes,
facilitating OPDs, Lab Investigations, Pharmacy fulfilment, Mental Health and Employee
Assistance Programs, Medical Advisory, Pre-employment and Preventive Health Screenings,
Hazardous Heath Checkups, Substance of Abuse Check-ups, Chronic Disease Management
support, Fitness interventions, Medical subscription packages, etc. to Corporates and Retail
Customers and therefore serves a huge base of clientele.

B. Hospital Partner is engaged in the business of providing in-patient medical services through its
Hospitals and allied medical services;

C. CNH is desirous of partnering with Hospital Partner to offer their in-patient services (“Services”)
to CNH’s customers (Beneficiaries) based on terms and conditions as agreed herein.

NOW, THEREFORE, in consideration of the mutual covenants herein contained, the parties hereby
agree as follows:

1. SERVICE AND SERVICE STANDARDS

1.1 CNH shall advise the patients requesting for hospitalization advice to opt for treatment at the
Hospital Partner based on patient’s medical requirements and matching in-patient services
available with the Hospital partner.

1.2 Hospital Partner shall provide the list of its doctors, list of insurance empanelment and medical
procedures. Upon occurrence of any changes in the details already furnished to CNH, Hospital
partner shall arrange to intimate such change to CNH and provide the updated details.

2. TERM AND TERMINATION


2.1) This Agreement shall come into effect on the Effective Date and shall be in force and effect for a
period of 1 (one) year (“Term”), unless terminated earlier in accordance with the terms of this
Agreement.

2.2) On the completion of the Term, the Agreement shall be renewed automatically unless such
renewal is explicitly cancelled or revoked by either Party.

2.3) Either Party may terminate this Agreement with or without cause by providing the other Party
with a written notice of three (3) months in advance.

3. REPRESENTATION AND WARRANTIES

Each Parties warrants and represents:

i. that it has the legal authority and competence to execute this Agreement without there being
any kind of conflict of interest of whatsoever nature.

ii. that it is an entity and has procured all the applicable and warranted legal clearances, licenses
and permissions as may be required from the requisite government authorities to do its
business.

4. CONFIDENTIALITY AND DATA PROTECTION

4.1) The Parties undertake and agree to maintain the terms of this Agreement and
communications exchanged pursuant to this Agreement confidential including all personal data of
the patients (collectively referred to as “Confidential Information”), in utmost confidentiality and
shall not disclose the same to any person except as required by law or on a need to know basis
after due intimation to the other party. The obligations under this clause for confidentiality shall
survive the termination or expiry of this Agreement.

4.2) In the cases where the Hospital shares the Personal Data of its Patients for insurance claim /
reimbursement assistance, it shall deem to have obtained consent from such patients to share
their Personal Data with CNH.

5. MISCELLANEOUS

5.1) Non-Solicitation of Employees. During the term of this Agreement and for a period of six
(6) months thereafter, each Party agrees that it will not either directly or indirectly solicit,
recruit, employ or otherwise engage the current employees of the other Party who are
participating in the performance of the Service under this Agreement.

5.2) Non-Exclusive relationship. The relationship between the Parties is a non-exclusive one,
which allows CNH and the Hospital to engage in other activities, provided that all of the terms
and conditions under this Agreement are strictly observed, including the avoidance of conflict
of interests.

5.3) Amendment. This Agreement may be amended at any time by mutual agreement of the
Parties hereto. In order to be valid and binding, any amendment to this Agreement must be in
writing and signed by both the Parties.

5.4) Intellectual Property. Each Party shall retain their respective rights, title and interest in
their patents, copyrights, trademarks, proprietary marks and/or licensed software, service
marks, trade secrets or any other form intellectual property (“Intellectual Property Rights”).
Nothing in this Agreement in any way confers the Intellectual Property Rights of one Party to
the other. 
5.5) Assignment.  Hospital shall not assign this Agreement or any right or obligation
hereunder without prior written consent of CNH.

5.6) Relationship of Parties: Nothing in this Agreement creates a joint venture, relationship of
partnership or agency between the Parties. No Hospital’s staff shall be construed as being an
employee of CNH by virtue of this Agreement or the performance of the Hospital’s obligations
under this Agreement.

5.7) Resolution of Disputes.

5.7.1) The Parties shall make every effort to resolve any dispute amicably, any disagreement
or dispute arising between them under or in connection with this Agreement.

5.7.2) If the dispute is not resolved within thirty (30) days after commencement of
negotiations to resolve the dispute amicably, the Parties shall refer the matter for arbitration
by a Sole Arbitrator acceptable to both Parties and governed by the Arbitration and
Conciliation Act, 1996 as amended from time to time. The place of arbitration shall be
Mumbai and the arbitral procedure shall be conducted in the English language.

5.8) Governing Law. This Agreement shall be governed by and construed in accordance with
the applicable laws and regulations of the Republic of India. The place of jurisdiction shall be
Mumbai.

5.9) Entire Agreement. This Agreement, including any schedules attached hereto, constitutes
the entire agreement between the Parties with respect to the subject matter and supersedes
all prior agreements and understandings, oral and written, between them with respect to the
subject matter of this Agreement. 

This Agreement may be signed in counterparts, each of which when taken together are one and the
same instrument.
