COURSE DESCRIPTION

This course is an introduction to the basic provisions of the Law on Partnership under
R.A. 386 or the New Civil Code of the Philippines and the Law on Corporation under R.A.
No. 11232 also known as An Act Providing For The Revised Corporation Code of the
Philippines.
The Law on Partnership includes discussion on its General Provisions under the New
Civil Code (Articles 1767 to 1783) and relevant provisions, Obligations of the Partners
Among Themselves under Articles 1784 to 1809, Property Rights of a Partner provided in
Articles 1810 to 1814, Obligations of the Partners with regard to Third Persons in Articles
1815 to 1827, Dissolution and Winding up under Articles 1828 to 1842, as well as, Limited
Partnership in Articles 1843 to 1867.
Meanwhile, the Law on Private Corporations includes discussions on General
Provisions, Incorporation and Organization, Board of Directors/Trustees/Officers, Powers of
a Corporation, By-Laws, Meetings, Stocks and Stockholders, Corporate Books and Records,
Merger and Consolidation, Appraisal Right, Non-Stock, Close, Foreign and Special
Corporations, and its Dissolution, as well as its Miscellaneous provisions as revised under
R.A. 11232.

Course Objectives
At the end of the course, the student is expected to have a thorough
comprehension and ability to appropriately apply the following:

1. The general concept of partnership and private corporations;


2. The legal requirements on the formation of Partnership and Corporation as
juridical entities;
3. The powers, management, and dissolution of these entities.
4. The rights and liabilities of the owners/members of these business organizations.
5. The important doctrines in partnership and corporate law.
6. The knowledge in writing Articles of Partnership and Articles of Incorporation.

1. Articles of Partnership;
2. Articles of Incorporation; and
3. Organization and Attendance on the Seminar Workshop for Private
Corporations.
