First of all, we would like to thank you for being concerned and giving us the opportunity to offer
legal services that we can provide for your business activities. The legal services requested by you
are in the form of offers of Retainer Legal Services and Legal Services which we will describe
below.
Our law office, SEMARINDO LAW FIRM, was established in 2017 and consists of several
advocates in Bali who have experience in the field of legal practice since 2007. We hope to
establish sustainable collaboration as appropriate.
The advantages of our law office, SEMARINDO LAW FIRM as a Retainer Legal Service
partner in your company, are because we consist of legal practitioners since 2007 who have been
used to handling Litigation cases (Trials in Court) so our experience in handling many of these
cases makes us have good insight. extensive information about legal problems that occur in
Indonesia and with this insight we can also provide tips & tricks and suggestions for avoiding legal
problems that are very likely to occur in every business trip of your company.

Below are the proposals we submit regarding Retainer Legal Services and Legal Services which
we would be happy to choose according to your company's needs:
I. Lead Attorney
A. IP. Harry Suandana Putra, SH.,MH.,CMLC.,C.Med.
As the founder of the law firm SEMARINDO LAW FIRM, as well as Managing Partner, he
will act collaboratively and coordinate all legal services that will be provided to the Company.
And also a professional lawyer with a license to practice throughout the territory of the Republic
of Indonesia from PERADI (Indonesian Advocates Association), with a background of
experience as a practitioner of criminal/civil procedural law, company and banking law, contract
law, state administrative law and employment law in Bali since 2007.
B. Made Sedana S.Pd., SH., MH.
A partner who assists and collaborates for all legal services that will be provided by the law
firm SEMARINDO LAW FIRM, to companies, has obtained a practice permit throughout the
territory of the Republic of Indonesia from PERADI (Indonesian Advocates Association), with
a background of experience in handling and/or cases in court. both civil and criminal.
C. I Ketut Sudarsana, SH., MH.
As a partner who helps and collaborates for all legal services that will be provided by the law
firm SEMARINDO LAW FIRM to companies, has obtained a practice permit throughout the
territory of the Republic of Indonesia from FERARI (Federation of Advocates of the Republic
of Indonesia), with a background of experience in handling and/or cases in both civil and
criminal trials.
D. I Ketut Agus Mahardika, SH.
As a partner who helps and collaborates for all legal services that will be provided by the law
firm SEMARINDO LAW FIRM to companies, has obtained a practice permit throughout the
territory of the Republic of Indonesia from PERADI (Indonesian Advocates Association), with

a background of experience in handling and/or cases in court. both civil and criminal.
E. Aprianus Kabubu Pajanji, SH.
As a partner who helps and collaborates for all legal services that will be provided by the law
firm SEMARINDO LAW FIRM to companies, has obtained a practice permit throughout the
territory of the Republic of Indonesia from PERADI (Indonesian Advocates Association), with
a background of experience in handling and/or cases in court. both civil and criminal.
With all of this, we are a unified whole and are confident in providing legal services when
needed to meet all the Company's needs whenever and wherever needed.
II. Scope of Legal Services (Non Litigation).
a. Carrying out Drafting and Auditing or Reviewing letters / documents / agreements
made by the company with various parties, such as all standard SOPs that exist in
the world of Health Law, Clinics, Hospitals, Company Licensing, Employee Work
Agreements, Management Agreements, Marketing and Agreements -Other
agreements with third parties (collaboration agreements with vendors, etc.);
b. Providing consultation and legal advice (Legal Opinion) on all company problems
currently being faced as well as providing legal advice to avoid future legal problems
related to agreements as in point (a) and/or in the context of providing advice -
suggestions for safety nets for board of Directors policies;
c. Advocates/Legal Consultants will carry out legal due diligence examinations of the
company's business activities, which include legal explanations for examining
documents between the company and third parties, conducting studies related to
legal issues faced by the company, coordinating and communicating with parties.

d. Represent the company to meet at meetings or accompany the Director and/or
Commissioner and Manager of the company in meetings with third parties related to
legal issues, accompany and/or represent in the negotiation and/or mediation
process both inside and outside the court.
III. Scope of Legal Services (Litigation).
a. Advocates/Legal Consultants will provide legal assistance in the form of handling
litigation cases where the company is involved in civil cases and in criminal cases in
court or in the police as well as resolving legal problems other than those mentioned
above which involve second parties directly. Litigation;
b. Apart from providing legal assistance in the form of handling cases in Litigation,
Advocates/Legal Consultants will seek a method of resolving disputes outside the
Court based on Law No. 30 of 1999 concerning Arbitration and Alternative Dispute
Resolution. In this case, the choice of institution for arbitration settlement is BANI
(Indonesian National Arbitration Board).
c. Help resolve disputes through mediation outside of court as regulated in the Republic
of Indonesia Supreme Court Regulations. Number: 1 of 2016 concerning Mediation;
IV. Services Offering:
As above, we offer several of our services to be provided to the Company based on the following
fee arrangements which are fully intended to provide maximum efficiency and appropriate costs for
the Company. These fee arrangements consist of:

Terms and Condition :
1. Work is carried out on working days and hours. (Monday Friday)
2. Fees do not include:
a. Fees for sending documents outside the Bali Province area.
b. Sworn translator fee
c. Costs for handling cases at the police / court / other dispute resolution forums (Litigation),
and/or official costs for other government / private agencies.
d. Applications for permits, or renewal of permits, including attendance at internal meetings.
e. Travel / transportation / accommodation costs if the work is carried out outside the Bali
Province area.
3. The provisions in this offer are valid from April 1 st 2024 and can be renegotiated according to the
agreement between the parties later.

Note:
If the document review and/or meeting and assistance exceeds the limit as determined in a month,
then the excess will be subject to an additional fee calculated per hour per lawyer, namely IDR
1,000,000 (one million rupiah). However, in carrying out each job, we will work as efficiently and
effectively as possible, and we will provide a report/proforma for the work we have carried out along
with details of hours used each month along with a monthly invoice.

Terms and Conditions :
1. Legal Service work is carried out without being tied to working hours.
2. Fees do not include:
a) Fees for sending documents outside the Denpasar, Badung area.
b) Sworn translator fees
c) Costs for registering a lawsuit in court, and/or official costs for other government/private
agencies.
d) Travel / transportation / accommodation costs if the work is carried out outside the
Denpasar, Badung, Gianyar area.
3. If the Client has agreed to become a Retainer Legal Services Client, then all costs/prices listed
on the Legal Services list will be subject to a discount of 50% (fifty percent);
4. The provisions in this offer are valid from January 1 2022 and can be renegotiated according to
the agreement between the parties later.
V. Payment Settings:
In addition to our service fees in Retainer Legal Services and Legal Services,
we will also charge normal additional costs that may occur in connection with the
Company which correspond to costs that are not included in Retainer Legal
Services and Legal Services.
Our bill will be billed with responsibility for the costs incurred every month and
must be paid within 7 (seven) calendar days after the billing date.

Immediately after receiving confirmation from the company and receipt of the first payment,
we will start working on our work.
