1.) Provisionsof Services‐ The ownerandservice providerhave agreedthatthe servicesare
providedonanas neededbasistofulfill the owner’sresponsibilitytooperate andmaintainthe system
inaccordance withthe Illinois Department of Financial and Professional Regulation (IDFPR). The parties
acknowledge thatregulationscanchange andthere maybe an increase inthe level of service whichwas
initiallyagreedupon.
2.) Owner’sObligationfor System Maintenance‐ The ownermustpromptlynotifythe service
providerof anyknowndefects,problems,orcomplaints.
3.) UnscheduledVisits‐ Uponnotice bythe owneror The Illinois Department of Financial and
Professional Regulation (IDFPR), the service providershall be requiredtoperformemergencyservices,
whichmay include repairsandreplacements. These will correctconditionswhichcanpose orare likely
to pose a riskto the PGL, publichealth,publicsafety,orthe environment. The ownerwillbe responsible
for payingthe service providerforadditionalservicesandproducts.
4.) Access‐ The ownerwill grantthe service provideraccesstothe unit for service includedinthe
agreement.
5.) Natural and Man‐Made EventsExcluded‐ The service providerwill have noliabilityor
obligationsinconnectionwithanydamage resultingfromelectrical outage,storms,flooding,lightening,
earthquakes,oranyact of nature. The ownerwill thenbe responsible forall costsincurred in
connectionwithsuchevents.
6.) Delays‐ The service providershall notbe liable fordelaysinperformanceornon‐ performance
causedby circumstancesbeyondcontrol. Sucheventsincludebutare not limitedtostorms,flooding,
fires,governmentactions,laborstrikes,laborshortage,orthe inabilitytoobtainmaterials,equipment
or transportation.
7.) Fees‐ The service feesare listedbelow. The service providermustprovide atleast30 days
notice of rate changes.
• Labor $$120.00/hr
• Non‐businesshours $$160.00/hr
• Travel Time $$120.00/hr
• Consumables+ Environmental 10% of Labor
8.) Payment‐ The ownershall payforthe servicesprovidedinaccordance withthe paymentterms
listedoninvoicessubmittedbythe service provider. Unpaidbalancesremainingafter_____ days from
the date of the invoice shall accrue interestata rate of _____% per month. The ownerisalso
responsible forpayingall attorneyfeesandexpenses,courtcosts,andany othercosts incurredbythe
service providertocollectanyoverdue balancesandinterest.
9.) Termination‐ Failure topaymay resultinthe service providerterminatingthe agreement
withoutnotice andshall have nofurtherobligationsif anyamountremainsunpaidafter_____ days
fromthe date of the invoice.
10.) Service ProviderLiability‐ The service provider’sliabilityunderthisagreementforanydefector
failure islimitedtoanexchange of the productand/or a returnof the amountspaidfor
service/materials. Noclaimshall exceedthe total paidforthe service/materialsforwhichdamagesare
claimed. The service providerisnotliable forlostprofitsorincidentaldamages.
11.) Non‐waiver‐ Noactionor inactiononthe part of the service providershall be deemedawaiver
of rights,remedies,breaches,orsubsequentdefaultsbythe ownerinthe performance of orcompliance
withthe termsof thisagreement.
12.) Transferability‐ Thisagreementcannotbe transferred,delegated,orotherwise assignedtoany
party withoutthe priorwrittenconsentof the service provider. Thisagreementandthe rightsand
obligationsmaybe assignedbythe service providerwithoutthe consentof the owner,provided such
assignmentistoanotherPGL Inc. certifiedservice provider.
13.) Severability‐ If anytermor provisionof thisagreementisdeemedtobe invalidor
unenforceable,suchadeterminationwill notaffectanyof the remainingtermsandprovisions. All such
remainingtermsandprovisionswill remaininfull force andeffect.
14.) RequiredMediation‐ All partieswill agree thatanydisputes,includingthe constructionor
applicationof thisagreement,shall be submittedtomediationbetweenthe service providerand
owner. All itemsmustbe fullydocumented. If the mediationdoesnotresultinamutual settlement
withinone yearfromthe date submitted,eachpartyhasthe rightto enforce obligationsinacourt of
law. All reasonable attorneyfees,courtcosts,andexpensesincurredbythe prevailingpartyare to be
paidin full bythe otherparty,as allowedbythe applicable law.
15.) Modifications‐ The termsof thisagreementcanonlybe modifiedif all involvedpartieshave
givena writtenagreement.
