Key Points – SUP Process
• Actual number of cores will be booked in the PO.
• Customer’s responsibility to submit documentation to apply for additional cores to be 100%
discounted in re-quote.
• Any 100% discounted cores will be paid for at Renewal; expectation must be set with customer.
Subscription offerings are licensed Per Core with a minimum of 16 Cores per CPU;
VMware per-CPU licensing policy allows 32 cores maximum per CPU.
Subscription Upgrade from 1 CPU of perpetual to customer-equivalent number of
vSphere+ Cores.
SUP Process designed for sales velocity and smoother customer transition to
per core licensing:
• Quote 16 Cores for each 1 CPU
• Customer either accepts 16 Cores = 1 CPU or informs VMware that they
have more cores in that 1 CPU
• If customer provides documentation, VMware will issue include the
cores above 16 to be fully discounted for the first subscription term
only(1)
• VMware will host a website where the customer can submit
documentation proof.
• Customer B in the example on the right will have 8 SUP cores
100% discounted for the first subscription term only
• At First Renewal, all SUP Cores will be paid for at SUP price (For any
cores above 16 that were 100% discounted, the discount will be valid
for the first subscription term only.)
• Customer B will pay for all 24 SUP Core units at SUP price at First
Renewal and all subsequent renewals
• Customers with 17-32 cores can have the additional cores above 16
100% discounted for the first subscription term, so these customers
are incentivized to commit to a longer first Subscription Upgrade
term
This SUP process will be further updated later in FY23 with more automation for faster
sales velocity.

SUP Guidance
Pricing design principle is to convert customers to subscription at similar prices vs. what customers pay for
Production SNS renewal.
• Non-ELAs
– In 2-tier transactional route to market, no discounting at 16 cores. The Subscription Upgrade list prices are already heavily discounted. The only
discounting that is allowed is for cores above 16 in each per-CPU license that the customer has traded in and provided proof.
– No SPF is allowed for SUP.
– Customers that are active on SNS (Basic or Production) are eligible; Basic SNS customers must pay the same price as Production SNS customers; no
further discounting allowed for Basic SNS customers(1).
• ELAs
– Guiding principle is 0% premium over Production SNS renewal for vSphere+ SUP as long as the latest SnS list prices are used to estimate the SnS
renewal amount. SnS list prices increased by approximately 10% in August 2022.
– For discounting, work with customer to determine WTP; goal is to convert customer from SNS Renewal to Subscription. We can try to achieve a
premium over SNS renewal, but many customers may push back against any premium. We want customers to move from Perpetual Per-CPU SNS
Renewal to Subscription Per Core
– Any customers on Basic SNS must pay equivalent of Production SNS Renewal. No discounting below Production SNS threshold(2).
• SUP for TLSS are available for Direct deals only
• No mid-term SUP is available with few exceptions2

Subscription Upgrade Messaging
What happens at renewal for customers with >16 cores/CPU
Subscription Upgrade pricing is defined as the per-core SUP List Price multiplied by the quantity
of cores for which the customer is trading in their per-CPU perpetual licenses.
For the first subscription term period only, the customer will pay only for 16 SUP cores for each
per-CPU perpetual license traded in, if the customer provides their documentation proof. At
renewal, the customer will pay for their full quantity of SUP cores at the SUP rate.
For example, a customer who trades in 1 per-CPU perpetual license and has 24 cores:
• The 3-year Subscription Upgrade price is $198 * 24 cores = $4,752
• For the first subscription term only, the Subscription Upgrade price is $198 * 16 cores = $3,1681
• At Renewal, the promotional period is over, and the Subscription Upgrade price goes to $198 * 24 cores
= $4,752

Documentation Proof
Customer to Provide if requesting 17-32 cores for traded-in per-CPU license
Inventoried environments should include date-
stamped documentation of servers, processors, and
assigned cores for all production hardware on which
VMware vSphere Enterprise/Enterprise Plus (1) is
currently installed. Customers must share this with
VMware as proof of hardware environment and the
number of cores that were assigned to their per-CPU
license.

Examples of acceptable forms of documentation include screenshots
of the vCenter UI that shows the # of cores per CPU socket, the
CSV file output from Power CLI tool, or server purchase invoices
that state the # of cores per CPU.

Confidential │ ©2022 VMware, Inc. 7 Subscription Upgrade Program Principles High Velocity Quote 16 cores per 1 CPU; removes any dependency on customer to provide core counts prior to first quote Pricing is designed at similar prices vs. what customers pay for SNS Renewal Predictable Pricing For the first subscription term, the price is equivalent to 16 cores, regardless of customer’s core density, which can range from 16 to 32 cores for 1 traded-in per-CPU License Customer can request additional cores over 16 and have them 100% discounted if customer provides hardware documentation proof Monetize all Cores at Renewal The price for the renewal term and all subsequent terms will be based on all activated cores in that 1 traded-in per-CPU license Customers with a core-dense CPU license are incentivized to have a longer first subscription term

Customer A (16 Cores/CPU) Customer B (24 Cores/CPU) 3-Year Price: $3,168 3-Year Price: $3,168 16 Cores – accept quote + PO 24 Cores – customer requests for re-quote 3-Year Price: $3,168 Customer submits HW documentation Yes No Requote and PO 3-Year Price: $3,168 3-Year Price: $4,752 3-Year Price: $66*24*3 = $4,752 Customer pays for all cores. Key Points – SUP Process • Actual number of cores will be booked in the PO. • Customer’s responsibility to submit documentation to apply for additional cores to be 100% discounted in re-quote. • Any 100% discounted cores will be paid for at Renewal; expectation must be set with customer. Subscription offerings are licensed Per Core with a minimum of 16 Cores per CPU; VMware per-CPU licensing policy allows 32 cores maximum per CPU. Subscription Upgrade from 1 CPU of perpetual to customer-equivalent number of vSphere+ Cores. SUP Process designed for sales velocity and smoother customer transition to per core licensing: • Quote 16 Cores for each 1 CPU • Customer either accepts 16 Cores = 1 CPU or informs VMware that they have more cores in that 1 CPU • If customer provides documentation, VMware will issue include the cores above 16 to be fully discounted for the first subscription term only(1) • VMware will host a website where the customer can submit documentation proof. • Customer B in the example on the right will have 8 SUP cores 100% discounted for the first subscription term only • At First Renewal, all SUP Cores will be paid for at SUP price (For any cores above 16 that were 100% discounted, the discount will be valid for the first subscription term only.) • Customer B will pay for all 24 SUP Core units at SUP price at First Renewal and all subsequent renewals • Customers with 17-32 cores can have the additional cores above 16 100% discounted for the first subscription term, so these customers are incentivized to commit to a longer first Subscription Upgrade term This SUP process will be further updated later in FY23 with more automation for faster sales velocity. The Subscription Upgrade list prices are already heavily discounted. The only discounting that is allowed is for cores above 16 in each per-CPU license that the customer has traded in and provided proof. – No SPF is allowed for SUP. – Customers that are active on SNS (Basic or Production) are eligible; Basic SNS customers must pay the same price as Production SNS customers; no further discounting allowed for Basic SNS customers(1). • ELAs – Guiding principle is 0% premium over Production SNS renewal for vSphere+ SUP as long as the latest SnS list prices are used to estimate the SnS renewal amount. For the first subscription term period only, the customer will pay only for 16 SUP cores for each per-CPU perpetual license traded in, if the customer provides their documentation proof. At renewal, the customer will pay for their full quantity of SUP cores at the SUP rate. For example, a customer who trades in 1 per-CPU perpetual license and has 24 cores: • The 3-year Subscription Upgrade price is $198 * 24 cores = $4,752 • For the first subscription term only, the Subscription Upgrade price is $198 * 16 cores = $3,1681 • At Renewal, the promotional period is over, and the Subscription Upgrade price goes to $198 * 24 cores = $4,752 (1) Assuming customer provides hardware documentation to receive the additional cores above 16 fully discounted.
